Kamdhenu Limited has approved the acquisition of 56,000 equity shares of Maa Kudargarhi Power and Ispat Private Limited, a franchisee unit of the company engaged in manufacturing iron and steel products with an installed capacity of 3,60,000 MTPA. The total consideration for this transaction stands at INR 5,04,00,000. This acquisition is part of Kamdhenu’s strategic initiative to acquire stakes in select franchisee units as it remodels its franchisee business model.

Kamdhenu Limited has approved the acquisition of equity shares with a face value of INR 10 each, at an issue price of INR 900 per share, amounting to a total consideration of INR 5,04,00,000.

The company will subscribe to the preferential issue of  Maa Kudargarhi Power and Ispat Private Limited, a franchisee unit engaged in the manufacturing of iron and steel products with a total installed capacity of 3,60,000 MTPA.

As of now, the paid-up share capital of Maa Kudargarhi Power and Ispat stands at INR 2,37,19,440. For the financial year ended 31st March 2024, the company reported a turnover of INR 649.68 crore and a Profit After Tax (PAT) of INR 4.49 crore.

This strategic investment aligns with Kamdhenu’s plan to acquire stakes in select franchisee units as part of remodeling its franchisee business model. The transaction, which will be completed through cash consideration, is expected to close on or before 31st July, 2025.
